Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Samchis Enterprises (“Company”, “we”, “us”, “our”), governing your access to and use of Samchis Web Development School and all associated systems, services, tools, content, and features (collectively, the “Platform”).

The Platform is a structured educational and digital systems environment. It is not a casual content website, social network, hosting service, or unrestricted development tool.

1. Binding Documents & System Hierarchy

Your use of the Platform is governed by this Terms of Service together with:

• The User Manual (U00)
• The Privacy Policy
• Subscription, billing, and payment rules displayed on the Platform
• Any additional policies or notices presented during platform use

The User Manual is an authoritative explanatory document that defines how platform systems behave from a user perspective. By using the Platform, you acknowledge that you have read, understood, and agreed to operate within the rules and constraints described in the User Manual.

If a conflict arises, enforceable system behavior and these Terms take precedence over informal explanations, assumptions, or expectations.

2. Acceptance of Terms

By accessing, registering, subscribing, purchasing, or using any part of the Platform, you affirm that you:

• Have read and understood these Terms
• Accept them in full
• Agree to be legally bound by them

If you do not agree to these Terms, you must immediately discontinue use of the Platform and all associated services.

3. Platform Nature & No Implied Rights

Access to the Platform does not grant ownership, partnership, employment, agency, certification, or entitlement to outcomes.

All access is conditional, revocable, and governed by:

• Identity and verification status
• Profile completeness
• Subscription level and active state
• System rules enforced at runtime

Visibility of content or features does not imply permission to use them. Discoverability is not access.

4. Accounts, Identity & Accuracy

Each account represents a single real individual or legally authorised entity.

• False, misleading, or incomplete information is prohibited
• Account sharing or impersonation is strictly forbidden
• Usernames may be permanent and publicly visible
• Identity verification may be required for certain actions

We reserve the right to restrict, suspend, or terminate access where identity integrity is compromised, suspected, or unverifiable.

5. Learning, Assignments & No Guarantees

The Platform provides structured learning systems, assignments, Dev Space projects, reviews, and certificates.

We make no guarantees regarding:

• Employment or income
• Commercial success
• Certification issuance
• Project approval
• Skill outcomes beyond evaluated criteria

Progress, completion, reviews, and certificates are earned strictly through compliance with system rules as described in the User Manual.

6. Subscriptions, Payments & Access State

Subscriptions determine runtime access authority, not ownership.

You acknowledge that:

• Payment history does not guarantee continued access
• Subscriptions can expire or downgrade automatically
• Limits are enforced even after payment
• Manual payments require verification before activation

Refunds, reversals, or disputes are governed strictly by posted billing rules and applicable law.

7. Dev Space, Content & Usage Limits

Dev Space, content systems, and community features operate under enforced technical and policy limits.

Attempts to bypass, automate, scrape, mirror, clone, or misuse these systems are prohibited.

All constraints described in the User Manual are binding and enforceable.

8. Intellectual Property

All platform content, systems, documentation, designs, workflows, architectures, code, and materials are the exclusive intellectual property of Samchis Enterprises unless explicitly stated otherwise.

Prohibited actions include, without limitation:

• Copying or redistributing content
• Commercial reuse or resale
• Training AI models on platform materials
• Reverse engineering systems
• Creating derivative platforms

9. Monitoring, Enforcement & Termination

We reserve the right to monitor platform activity, enforce rules, and take action where risk, abuse, or violations are detected.

Enforcement may include feature restriction, suspension, termination, data removal, or permanent bans, without prior notice and without liability.

10. Limitation of Liability

The Platform is provided “as is” and “as available”.

To the fullest extent permitted by law, Samchis Enterprises shall not be liable for indirect, incidental, consequential, or special damages, including loss of data, opportunity, income, or reputation.

11. Indemnification

You agree to indemnify and hold harmless Samchis Enterprises from any claims, liabilities, damages, or expenses arising from your use of the Platform, violation of these Terms, or misuse of systems.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Conflict of law principles are excluded where permitted.

13. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

If you do not agree with changes, you must discontinue use.
